1. Introduction
By accessing and using the ERS Genomics Express CRISPR/Cas9 License Application Portal, you agree to comply with and be bound by the following terms and conditions. These terms apply to all users of the portal.

2. Accuracy of Information
By submitting an application, you confirm that all details provided, including but not limited to company name, annual revenue, employee number, territory, country, applications/use case, and contact details, are accurate, authentic, and true. Any false or misleading information may result in the rejection of your application and potential legal consequences.

3. Eligibility
The license is available for non-exclusive internal research use only. By applying, you affirm that your intended use of the CRISPR/Cas9 technology complies with this requirement.

4. Applicable Law
These terms and conditions, and any disputes arising from or relating to them, will be governed by and construed in accordance with the laws of the country where your company is registered. You agree to submit to the exclusive jurisdiction of the courts of that country.

5. Non-Disclosure Agreement (NDA)
Upon submission, you will receive a Non-Disclosure Agreement (NDA) which must be reviewed and e-signed. This NDA protects the confidential information shared between your company and ERS Genomics.

6. Review and Validation
Our Business Development (BD) team will review the information you provide to validate eligibility and accuracy. You may be required to provide additional documentation or clarification during this process.

7. Document Finalization and E-signature
After the BD team’s review, you will receive the Term Sheet and License Agreement for your review and e-signature. The final agreement will be completed once all parties have signed.

8. Payment Processing
An invoice for the license fee will be issued upon final e-signatures. Payment must be made in accordance with the instructions provided. Failure to pay the invoice may result in the termination of the licensing process.

9. Data Privacy
We are committed to protecting your privacy and ensuring that your personal information is handled in a safe and responsible manner. We implement industry standard measures to protect applicant data and comply with relevant data protection regulations.

10. Notifications
All system notifications will clearly instruct you, the applicant on required actions. It is the applicant’s responsibility to monitor and respond to these notifications in a timely manner.

11. Termination
ERS Genomics reserves the right to terminate your application and the licensing process at any time, without notice, for conduct that we believe violates these terms.

12. Amendments
ERS Genomics reserves the right to amend these terms and conditions at any time.
